TERMS & CONDITIONS OF SALE

These Terms & Conditions apply to contracts between Clock House Furniture Ltd ("we", "us", "our") and private individual consumers ("you", "your"). They are written to comply with the UK Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
1. About Us

2. Definitions
- Goods: Furniture, cabinetry, upholstery and related items supplied by us, whether bespoke or standard.
- Bespoke Goods: Goods made to your specific measurements, materials, finishes or design choices.
- Contract: The legally binding agreement between you and us for the supply of Goods.
3. Application of These Terms
3.1 These Terms apply to all consumer orders and override any other terms unless we agree otherwise in writing.
3.2 Nothing in these Terms affects your statutory consumer rights.
4. Nature of Bespoke Furniture
4.1 Most of our Goods are bespoke and made to order.
4.2 Natural variations in timber, stone, leather, fabric and finishes are inherent characteristics of handcrafted furniture and are not faults.
4.3 Samples, drawings and photographs are indicative only and may vary slightly from the finished Goods.
5. Quotations and Pricing
5.1 All quotations are valid for three (3) months unless stated otherwise.
5.2 Prices are inclusive of UK VAT unless stated and exclude delivery unless expressly included in the quotation.
5.3 We may adjust prices before manufacture to reflect material, labour or transport cost increases outside our reasonable control. Any such change will be confirmed in writing and you may cancel if you do not accept the revised price.
6. Orders and Approval
6.1 A Contract is formed only once we confirm your order in writing.
6.2 One CAD drawing is included in the price of any bespoke products. Any additional drawings with alterations or changes will be charged at an hourly rate.
6.3 You are responsible for approving all drawings, specifications and finishes. Approval confirms that the details are correct.
6.4 Changes requested after approval may not be possible and may incur additional cost and time.
7. Payment Terms (50/50 Structure)
7.1 A 50% deposit is payable when you place your order.
7.2 The remaining 50% balance is payable prior to dispatch or collection of the Goods.
7.3 We will not release Goods until payment is received in full.
8. Delivery and Risk
8.1 Delivery dates are estimates only.
8.2 Risk of loss or damage passes to you once the Goods are delivered to your address or collected by you.
8.3 You must ensure that access is suitable for delivery. We are not responsible for delays or damage caused by inadequate access.
9. Inspection
9.1 Please inspect the Goods on delivery and notify us of any visible damage or shortages within 3 working days. The goods must be signed for as “received damaged”. Original packing boxes must be retained for inspection and/or return of the goods. Any damage must be photographed and emailed to Clock House Furniture Ltd before a return/replacement may be considered.
9.2 Failure to notify us within this time will be treated as acceptance of the Goods.
10. Installation
10.1 Installation is not included.
10.2 You are responsible for ensuring that Goods are installed correctly by suitably qualified professionals.
11. Cancellation Rights
11.1 Your Legal Right to Cancel
Under the Consumer Contracts Regulations, you normally have 14 days to cancel a distance or off-premises contract.
11.2 Bespoke Goods Exception
This right does not apply to Bespoke Goods made to your specification or clearly personalised.
Once manufacture of Bespoke Goods has begun, the order cannot be cancelled without cost.
11.3 Cancellation Charges
If cancellation is agreed:
- before manufacture begins: up to 25% of the order value;
- during manufacture: costs incurred plus loss of margin;
- after completion: 100% of the order value.
Any deposit paid may be used to offset these charges.
12. Faulty Goods and Your Rights
12.1 Goods must be of satisfactory quality, fit for purpose and as described.
12.2 If Goods are faulty, you are entitled to repair or replacement. Defective goods must be made available for inspection by a Clock House representative to establish whether repair or replacement is required. If this is not possible, you may be entitled to a price reduction or refund in accordance with the Consumer Rights Act 2015.
12.3 Our warranty covers manufacturing defects for 12 months from delivery.
12.4 This does not cover:
- normal wear and tear;
- damage caused by misuse, neglect or improper installation;
- movement caused by changes in temperature or humidity;
- customer-supplied materials.
13. Limitation of Liability
13.1 We are responsible for foreseeable loss or damage caused by our breach of contract or negligence.
13.2 We are not liable for losses that are not foreseeable or for delays caused by factors outside our control.
13.3 Nothing in these Terms limits liability for death or personal injury caused by negligence.
14. Ownership of Goods
14.1 Ownership of the Goods passes to you only once payment is made in full.
15. Intellectual Property
15.1 All designs, drawings and specifications remain our intellectual property and may not be used or reproduced without our written consent.
16. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including supply chain disruption or transport delays.
17. Governing Law
These Terms are governed by the law of Scotland and disputes shall be dealt with by the Scottish courts.
